Please read these terms carefully before using the AutoScan AI platform. By accessing our service, you agree to be bound by these terms.

1. Parties and Acceptance
These Terms and Conditions constitute a legally binding agreement between AutoScan AI (“Company”), domiciled in Switzerland, and the organisation or individual (“Customer”) subscribing to or using our vehicle inspection SaaS platform.
By registering an account, accessing the platform, or clicking “Accept”, you confirm that you have read, understood, and accepted these Terms. If you do not agree, do not use the Service.
These Terms are subject to Swiss law, in particular the Swiss Code of Obligations (CO) and the Federal Act on Data Protection (nDSG).
2. Description of Service
AutoScan AI provides a cloud-based SaaS platform for vehicle inspection management, enabling garage operators, dealers (Tenants), and their employees (Admins and Inspectors) to:
- Conduct AI-assisted vehicle inspections using camera input
- Generate, store, and export professional PDF inspection reports
- Manage multiple users and organisational units (multi-tenant architecture)
- Communicate with platform administrators via live-chat
- Access a CMS to customise marketing content
3. Subscription, Pricing, and Payment
3.1 Pricing
The standard subscription fee is CHF 2,000 per year per tenant organisation. Prices are quoted in Swiss Francs (CHF) exclusive of Swiss VAT (MWST) where applicable.
3.2 Billing Cycle
Subscriptions are billed annually in advance. The first payment is due upon account activation. Renewal invoices are issued 30 days before the anniversary date.
3.3 Payment Terms
Invoices are payable within 30 days of issuance. In the event of non-payment, we reserve the right to suspend access after a written reminder, and to charge statutory default interest of 5% per annum (Art. 104 CO).
3.4 Price Changes
We may adjust our prices with 90 days’ written notice before the next renewal period. If you do not accept the new pricing, you may terminate the contract before the renewal date.
4. Account Registration and User Responsibilities
4.1 Account Creation
Only authorised personnel of the subscribing organisation may create and manage user accounts. The Tenant Admin is responsible for ensuring that all users comply with these Terms.
4.2 Credentials
You are responsible for maintaining the confidentiality of your login credentials. Immediately notify us if you suspect any unauthorised access.
4.3 Acceptable Use
You agree not to:
- Use the platform for any unlawful, fraudulent, or abusive purpose
- Upload content that infringes third-party intellectual property rights
- Attempt to reverse-engineer, decompile, or extract proprietary code
- Perform automated scraping, load testing, or denial-of-service attacks
- Share accounts or access credentials with unauthorised individuals
5. Data Ownership and Privacy
All vehicle data, inspection reports, and customer content uploaded to the platform remain the property of the Customer. We act solely as a data processor for such content.
We process personal data in accordance with our Privacy Policy and applicable Swiss and EU data protection law (nDSG, GDPR). A Data Processing Agreement (DPA) is available upon request. Privacy Policy
6. Service Availability and SLA
We aim to provide platform availability of 99.5% per calendar month, excluding scheduled maintenance windows, force majeure events, and third-party infrastructure outages.
Scheduled maintenance is communicated at least 48 hours in advance. Emergency maintenance may be applied without prior notice when required for security or stability.
7. Intellectual Property
All intellectual property rights in the platform — including software, designs, algorithms, and branding — are the exclusive property of AutoScan AI or its licensors. Nothing in these Terms transfers any IP rights to the Customer.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform solely for your internal business purposes during the subscription period.
8. AI-Generated Content and Disclaimer
Our platform uses AI models to assist with vehicle damage detection and inspection report generation. AI-generated outputs are provided for informational and decision-support purposes only. They do not constitute a professional technical assessment or legally binding vehicle inspection report.
The Customer is solely responsible for verifying the accuracy of AI-generated results before relying on them for any commercial, legal, or insurance purpose.
9. Confidentiality
Both parties agree to keep confidential any proprietary or commercially sensitive information exchanged in the course of the contractual relationship. This obligation survives termination for five (5) years.
10. Limitation of Liability
To the maximum extent permitted by Swiss law:
- Our total aggregate liability per calendar year shall not exceed the annual subscription fees paid by the Customer in the 12 months preceding the claim.
- We shall not be liable for indirect, consequential, or punitive damages, including loss of profits, loss of business, or reputational damage.
- These limitations do not apply to damages caused by our wilful misconduct or gross negligence (Art. 99 CO), or to liability that cannot be excluded under mandatory Swiss law.
11. Term and Termination
11.1 Contract Duration
The subscription commences on the activation date and runs for one (1) year, renewing automatically unless either party provides written termination notice at least 30 days before the renewal date.
11.2 Termination for Cause
Either party may terminate immediately by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 calendar days of written notice.
11.3 Effect of Termination
Upon termination, your access to the platform will be suspended. We will make Customer data available for export for 30 calendar days post-termination, after which it will be securely deleted unless required for legal retention purposes.
12. Changes to the Service and Terms
We may modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed exclusively by Swiss law, excluding its conflict-of-law rules and the CISG.
Any disputes shall be subject to the exclusive jurisdiction of the competent courts at the registered seat of the Company in Switzerland.
Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution through direct negotiations for a period of 30 days.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
